charger circuit with voltage regulator

my plan along with the questions are as follows:
- the input current source will be in DC itself- two 1.2 V 2500 mAh
batteries
(is it sufficient)?
- there should be a voltage regulator so that the output is always 5.0V and 350 mA -any larger amount would spoil the battery to be charged. (which regulator and components will i have to use)?
- if it does not involve much complicacy, it would be nice to have a auto cut system when the battery to be chrged is full.

looking for quick help...
 
I would go to Maxim integrated circuits and shop their selection for a DC-DC boost converter that will boost the 2.4V input voltage up to a regulated 5V output. You did not say how accurate the 5V has to be?
